1. Acceptance of Terms

Drawby ("the Platform") is operated by Tidalwave Dynamics Limited ("the Operator"), a company registered in Cyprus under Company Number HE 484196, with its Registered Office at Agiou Andreou 3, Pallouriotissa, 1040, Nicosia, Cyprus. References in these Terms to "Drawby", "we", "our", or "us" mean the Operator. By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and the Operator.

2. Eligibility

To use Drawby, you must:

• Be at least 18 years of age (or the legal age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be located in a jurisdiction where participation in raffles or crypto transactions is prohibited
• Not be on any sanctions lists or otherwise prohibited from engaging in crypto transactions

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to request proof of age or identity at any time.

3. Account Registration

To participate in raffles, you must connect a compatible cryptocurrency wallet. By connecting your wallet, you acknowledge that:

• You are the rightful owner of the wallet
• You are responsible for maintaining the security of your wallet credentials
• All transactions initiated from your wallet are your responsibility
• Drawby is not responsible for any loss resulting from unauthorized access to your wallet

4. Raffle Participation

4.1 Ticket Purchases

When you purchase raffle tickets, you agree that:

• All purchases are final and non-refundable except as stated in our Cancellation Policy
• Tickets are purchased using USDC or USDT on the Ethereum network. The accepted token contract addresses and the raffle contract address are published on our How It Works page.
• You are responsible for transaction (gas) fees
• Ticket prices are displayed in USDC or USDT and are final at the time of transaction

4.2 Draw Process

Winners are selected through Chainlink Verifiable Random Function (VRF v2), a cryptographically secure on-chain randomness source. The VRF request and fulfillment transactions are publicly verifiable on Etherscan. The draw occurs automatically when either:

• All tickets are sold, or
• The competition end date is reached

4.3 Prize Claiming

Winners must claim their prize within 30 days of the draw. Unclaimed prizes may be forfeited at Drawby's discretion. For watch prizes, winners must provide a valid shipping address. For cash alternatives, winners must confirm their wallet address.

4.4 Smart Contract Risk

You acknowledge that Drawby operates using smart contracts deployed on a public blockchain. While our contracts have been audited by [auditor name], smart contracts carry inherent risks including software bugs, exploits, and oracle failures. In the event of a critical contract failure, Drawby will use reasonable efforts to refund ticket purchases from the affected competition, subject to the funds remaining accessible. Our maximum liability is limited as set out in Section 9.

5. Cancellation, Refunds, and Shipping

5.1 Cancellation and Refunds

Drawby reserves the right to cancel any competition. If a competition is cancelled:

• All ticket purchases will be refunded in full to the original wallet
• Refunds will be processed within 7 business days
• Gas fees for the original purchase are non-refundable

5.2 Shipping Restrictions and Duties

Prizes are shipped from the United Kingdom by our authenticated watch partner via insured courier. Delivery is available worldwide except to jurisdictions under UK, EU or US sanctions, or where luxury goods import is restricted. Where a prize cannot be shipped to the winner's location, Drawby will offer the cash alternative in USDC at the watch's verified retail value, where the competition was configured with a cash alternative. Winners are responsible for any import duties, VAT, or customs fees in their jurisdiction.

6. Prize Authenticity

All watches offered as prizes are 100% authentic and sourced from authorized dealers or verified secondary market sources. Each watch comes with:

• Certificate of authenticity
• Original manufacturer warranty (where applicable)
• Full documentation and accessories

7. Prohibited Activities

You agree not to:

• Use the Platform for money laundering or any illegal purpose
• Attempt to manipulate or interfere with the draw process
• Create multiple accounts to circumvent ticket limits
• Use automated systems or bots to purchase tickets
• Engage in any activity that could harm the Platform or other users

8. Intellectual Property

All content on the Platform, including logos, designs, text, and graphics, is the property of Drawby and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Drawby shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid for tickets in the relevant competition.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Seychelles.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce. The arbitration shall take place in London, United Kingdom, and be conducted in English.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be announced on the Platform with at least 14 days notice before taking effect, and notified by email to subscribers who have provided one. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
