1. Who we are

Drawby is operated by Tidalwave Dynamics Limited, a company registered in Cyprus under company number HE 484196, with its registered office at Agiou Andreou 3, Pallouriotissa, 1040 Nicosia, Cyprus.

In these terms, "Drawby", "we", "us" and "our" mean Tidalwave Dynamics Limited. "You" means the person entering a competition.

By connecting a wallet to the Platform or entering a competition, you accept these terms. If you do not accept them, do not use the Platform.

2. What Drawby is

Drawby runs prize competitions. Entry requires you to answer a question that tests skill, judgement and knowledge of watches.

Only entrants who answer the question correctly receive a ticket. Entrants who answer incorrectly do not receive a ticket, are not charged, and do not go forward to the draw. The winner is then selected at random from the pool of entrants who answered correctly.

Drawby does not run lotteries, and we do not offer betting or casino products.

3. Eligibility

To enter a competition you must:

• Be at least 18 years old, or the age of majority where you live, whichever is higher
• Have the legal capacity to enter a binding contract
• Not be resident or located in a restricted jurisdiction (section 4)
• Not be subject to sanctions administered by the EU, UK, US or United Nations

Employees, officers and contractors of Tidalwave Dynamics Limited, and members of their immediate households, may not enter.

We may ask you to prove your age or identity at any time, and we may withhold a prize until you do.

4. Restricted jurisdictions

We do not accept entries from, and do not award prizes to, anyone resident or located in:

Excluded markets

• United States of America, including its territories and possessions
• United Kingdom, including the Channel Islands and the Isle of Man

Sanctioned jurisdictions

• Cuba
• Iran
• North Korea (DPRK)
• Syria
• Russia
• Belarus
• Myanmar
• Venezuela
• The Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine

This list reflects the position at the date above. Sanctions change frequently, and we screen against the EU consolidated sanctions list, the UK sanctions list and the US OFAC lists on an ongoing basis. Where a jurisdiction becomes sanctioned after you have entered, we will refund your tickets under section 9 rather than award a prize in breach of sanctions.

It is your responsibility not to enter from a restricted jurisdiction. Entering from one is a breach of these terms and voids any entry and any prize, whether or not we identify it at the time.

We may block access by IP-based geolocation, and we verify location when a prize is claimed. Attempting to conceal or misrepresent your location, including through a VPN or proxy, is a breach of these terms.

5. Your wallet

You enter competitions by connecting a compatible cryptocurrency wallet. By connecting one you confirm that:

• You own and control it
• You are responsible for its security, including seed phrases and private keys
• Every transaction sent from it is your responsibility

We never ask for your seed phrase or private keys, and we cannot recover a wallet you have lost access to. Prizes are paid to the entrant, verified by identity check where section 11 requires one, so a lost wallet may mean we cannot pay you.

6. Entering a competition

6.1 The skill question

Every entry requires a correct answer to a skill question shown before payment. Questions test knowledge of watches and are set at a standard that a significant proportion of people will answer incorrectly.

You get two attempts. If your first answer is wrong you are given a different question. If that answer is also wrong you are locked out of that competition and cannot enter it, whether from the same wallet or another.

An incorrect answer means no ticket is issued and no payment is taken.

Sharing or publishing question answers is a breach of section 12.

6.2 Tickets and payment

• Tickets are paid for in USDC or USDT on the Ethereum network. Our competition contract address is published in the footer of every page and can be inspected on Etherscan. Always check the address before you approve a transaction.
• Ticket prices are displayed before you confirm and are fixed at the point of transaction.
• You pay network (gas) fees in addition to the ticket price. These are paid to the Ethereum network, not to us.
• The total ticket allocation for each competition is published before it opens.
• The maximum number of tickets one entrant may hold in a single competition is published on that competition's page.

Once your transaction confirms on-chain your entry is complete and cannot be reversed. By entering you ask us to begin performance immediately, and you accept that any statutory right of withdrawal ends at that point.

6.3 If a competition does not sell out

If the ticket allocation has not sold out by the published closing date, we may extend the closing date. We will extend a competition no more than three times. Each extension is announced on the competition page and emailed to everyone already entered.

If the competition has still not sold out after the third extension, we will either run the draw with the tickets sold, or cancel the competition and refund entrants under section 9. We will say which before the revised closing date.

7. The draw

The winner is drawn from the pool of entrants who answered the skill question correctly.

Selection uses Chainlink Verifiable Random Function (VRF), an on-chain randomness source. The request and fulfilment transactions are recorded on the Ethereum blockchain and can be verified independently on Etherscan. We publish the transaction hash for every draw.

The draw runs automatically when the ticket allocation sells out, or on the closing date, whichever comes first. Nobody at Drawby can influence, predict or re-run the result.

There is one prize winner per competition, plus any runner-up prizes stated on the competition page.

8. Prizes

8.1 Notification and claiming

The winning wallet is notified automatically on-chain as soon as the contract resolves, and by email where we hold an address. If the automatic notification fails for any reason, we will contact the winner manually within 7 working days of the draw.

You must claim within 30 days of notification. To claim you will need to complete identity verification where section 11 requires it, and, for a physical prize, provide a delivery address.

If we cannot reach you, or you do not complete a claim within 30 days, we may re-draw the prize from the remaining qualifying entrants. We will make at least three documented attempts to contact you first.

8.2 Authenticity

Every watch is genuine and sourced from an authorised dealer or a verified secondary-market source. Each prize is supplied with its documentation and accessories, and with the manufacturer's warranty where one applies.

8.3 Delivery, duties and tax

Prizes ship from the United Kingdom by UPS on a fully insured service. We deliver worldwide except to the jurisdictions in section 4 and except where the import of luxury goods is restricted.

We aim to dispatch within 5 working days of a completed claim. Where identity verification, sourcing or customs paperwork takes longer, we will tell you and keep you updated. This is a target rather than a guaranteed date.

You are responsible for any import duty, VAT, customs charge or tax arising in your country. On a watch of this value these can be substantial. Check the position where you live before you enter. Any income or windfall tax on a prize is also yours to settle.

8.4 Cash alternative

Every competition carries a cash alternative. The amount is stated on the competition page and is paid in USDC to the winning wallet.

You may take the cash alternative instead of the watch for any reason. Where we cannot ship a prize to your location, we will pay the cash alternative.

Prizes are not otherwise transferable or exchangeable.

9. Cancellation and refunds

We may cancel a competition before the draw. If we do:

• Every ticket payment is refunded in full to the wallet it came from
• Refunds are sent within 7 business days of the cancellation announcement
• Gas fees on the original purchase are not refunded, because they were paid to the Ethereum network and not to us

Outside cancellation, ticket purchases are final. We do not refund entries because you changed your mind or did not win.

10. Smart contract risk

Competitions run on smart contracts deployed to a public blockchain. Understand what that means before you enter.

Our contracts have not been audited by an independent third party. We will publish the report here if that changes.

Smart contracts carry risks including software defects, exploits and oracle failure. If a contract fails in a way that prevents a competition completing, we will use reasonable efforts to refund entrants from the funds still accessible in that contract. Our liability is limited by section 13.

Blockchain transactions cannot be reversed. Neither we nor anyone else can undo a confirmed transaction.

11. Financial crime, sanctions and verification

We screen wallets and entrants against sanctions lists and financial crime risk indicators. We may refuse an entry, void an entry, withhold a prize, or report to the authorities where we have reasonable grounds to suspect sanctions exposure, money laundering, terrorist financing, or funds derived from crime.

Identity verification. Where the value of a prize you are claiming exceeds USD 10,000, you must complete identity verification before we release it. Verification is carried out by Sumsub, an independent provider, and you will be asked for government-issued photo identification and proof of address. The verified identity must match the entrant.

We may also require verification below that threshold where our screening flags a risk.

Where an entry is voided under this section, we return the ticket price to the originating wallet unless doing so would itself breach sanctions or another legal obligation.

12. Things you must not do

You must not:

• Use the Platform for money laundering or any unlawful purpose
• Interfere with, or attempt to influence, the draw
• Use bots, scripts or automation to buy tickets or answer skill questions
• Use multiple wallets to exceed the per-entrant ticket limit or to re-enter after a lockout
• Share or publish skill question answers
• Misrepresent your age, identity or location

Breach of this section voids your entries and any prize, without refund.

13. Our liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for indirect or consequential loss, and our total liability to you in connection with a competition will not exceed the total you paid for tickets in that competition.

We are not liable for loss caused by blockchain network failure or congestion, wallet compromise, gas price movements, or the failure of a third-party service including Chainlink VRF, wallet providers and couriers.

14. Complaints

Email support@drawby.com with your wallet address, the competition, and what went wrong.

We acknowledge complaints within 3 business days and aim to resolve them within 20 business days. If we cannot, we will tell you why and give you a revised date.

If you are not satisfied with our final response you may take the matter to court. If you are a consumer in the EU or EEA you can also use the European Commission's online dispute resolution platform. Nothing here removes your right to bring a claim.

15. Intellectual property

The Platform, including its name, logo, design, text and images, belongs to us or our licensors. You may not copy, reproduce or make derivative works from it without our written permission.

16. Governing law

These terms, and any dispute arising from them, are governed by the law of the Republic of Cyprus. The courts of Cyprus have exclusive jurisdiction.

If you are a consumer resident in the EU or EEA, this does not remove the protection of the mandatory consumer law of your own country, and you may bring proceedings in your local courts.

17. Changes to these terms

We may change these terms. Material changes take effect 14 days after we publish them, and we will email subscribers before they do.

Changes never apply retrospectively. The terms that govern your entry are the ones in force when you bought your ticket.
